Article 1 – Definitions

In these terms and conditions, the following definitions apply:

Account - a personal account for the Customer with SMNP;

Terms and Conditions - these terms and conditions;

Pharmacy - an independent and registered pharmacy established in the European Union;

Doctor - an independent and registered doctor established in the European Union;

Consultation - an online medical consultation with a Healthcare Provider based on a Medical Questionnaire;

Services - the information provided on the Website regarding menopause-related symptoms, as well as the online service consisting of organising a Consultation, and the option to forward any prescribed Prescription to a Pharmacy;

Medication - a medicinal product, whether or not available only by Prescription;

Right of Withdrawal - the legal option for the Customer to withdraw from the Agreement;

Identity Verification - the process of checking and verifying the Customer's identity, including verification of an identity document, age verification, and, if applicable, biometric verification such as facial comparison and/or liveness check (selfie), potentially conducted by an external service provider;

Customer - the natural person not acting in the exercise of a profession or business, who visits the Website and/or enters into an Agreement with SMNP;

Medical Questionnaire - an online (medical) questionnaire for the purpose of anamnesis by a Doctor;

Order - the Customer's request to SMNP to arrange a Consultation with a Healthcare Provider on their behalf and at their expense and risk and/or to forward a Prescription to a Pharmacy;

Agreement - the distance agreement regarding the Services established between the Customer and SMNP through the placement of an Order, to which these Terms and Conditions apply;

Personal Advice - an individual treatment proposal prepared by a Healthcare Provider based on a Consultation and Medical Questionnaire, which may consist of one or more Medications and/or other health products, potentially offered as a package;

Privacy Policy - the privacy policy applicable to the Services and the Website, as made available on the Website;

Products - Medications and/or other (health) products;

Prescription - a prescription issued by a Doctor – resulting from a Consultation – for a prescription-only medication;

SMNP - the legal entity eValetudo B.V., operating under the name SeeMe-nopause, being the operator of the Website and provider of the Services;

Preferred Treatment - the Customer's stated preference during a Consultation for a (type/quantity/dosage) Medication to treat their symptom or condition, also referred to as the 'preferred product';

Website - the website https://seemenopause.com/, including SMNP's social media channels;

Healthcare Provider - a Doctor or another healthcare professional, such as a menopause specialist.

Article 3 - Applicability

  1. These Terms and Conditions apply to (any offer by SMNP for) the Services, to every Order, and to every Agreement established between SMNP and the Customer.
  2. Before the Agreement is concluded, the text of these Terms and Conditions will be made available to the Customer electronically – and via the Website.
  3. If one or more provisions of these Terms and Conditions are at any time wholly or partially void or annulled, the Agreement and these Terms and Conditions will remain in effect for the rest, and the relevant provision will be replaced by mutual agreement without delay by a provision that approximates the original intent as closely as possible.
  4. Situations not covered by these Terms and Conditions must be assessed 'in the spirit' of these Terms and Conditions.

Article 4 – Description of the Services

  1. SMNP is an informational website and also offers a facilitating service for consumers. The Website provides information about menopause, related symptoms, and possible treatments.
  2. SMNP is not an (online) doctor or (online) pharmacy but arranges, at the Customer's request, a Consultation with a Healthcare Provider and/or the forwarding of a Prescription to a Pharmacy and/or the delivery of a Product by a Pharmacy.
  3. The Services are only available in the countries specified on the Website.

Article 5 - The offer

  1. The offer on the Website and anything else presented there constitutes an offer by SMNP only insofar as it pertains to the Services. Consultations and Products are offered on the Website by the Healthcare Provider and the Pharmacy, respectively.
  2. Every offer on the Website is non-binding. SMNP reserves the right to modify and adjust the offer. Apparent mistakes or errors in the offer – including pricing errors – do not bind SMNP, the Healthcare Provider, or the Pharmacy.
  3. All images and specifications in the offer are indicative and cannot give rise to compensation or dissolution of the Agreement.
  4. The prices listed on the Website include, unless otherwise stated, the costs of a Consultation, the cost of the Product, a service fee for SMNP, shipping costs, and VAT.

Article 6 – Identity verification, order, agreement, and delivery

  1. SMNP reserves the right to require Identity Verification at any time to comply with laws and regulations, ensure medication safety, prevent fraud, verify age, manage risks, and/or protect its Services and the involved Healthcare Providers and Pharmacies.
  2. Identity Verification may be conducted through an external specialised service provider, such as Checkin.com (or a similar provider).
  3. Identity Verification may include biometric verification, such as facial comparison and liveness detection (selfie verification).
  4. If Identity Verification is required, the Customer is obligated to cooperate promptly, fully, and truthfully and to complete the requested verification steps.
  5. As long as Identity Verification has not been completed or successfully passed, SMNP reserves the right to suspend the execution of the Order.
  6. If verification fails, the Customer does not cooperate (in a timely manner), or SMNP determines that the data provided is incorrect, there are signs of misuse, fraud indicators, or other risks, SMNP reserves the right to refuse, suspend, or cancel an Order without being liable for any resulting damages, unless otherwise stipulated by mandatory law.
  7. The Agreement is established at the moment the Customer accepts the offer and meets the conditions set forth, including – if required – successfully completing Identity Verification.
  8. SMNP may, within legal frameworks, verify whether the Customer meets the requirements set by SMNP to receive a Consultation and/or a Product, as well as any facts and circumstances relevant to responsibly entering into the Agreement. If SMNP has valid reasons based on this to not enter into the Agreement, it reserves the right to refuse an Order or application.
  9. Every Agreement is entered into under the suspensive condition of sufficient availability of the relevant Products at the dispensing Pharmacy.
  10. All delivery times are indicative. The Customer cannot derive any rights from the stated terms. Exceeding a term does not entitle the Customer to compensation.
  11. The Pharmacy is authorised to deliver the Products to the Customer via regular mail. From the moment the Products are delivered, the Customer is responsible for them.

Article 7 – Consultation and products

  1. The Medical Questionnaires are carefully compiled in consultation with the Healthcare Providers and the Medical Advisory Board associated with SMNP and comply with medical-ethical guidelines.
  2. The Healthcare Provider provides the Consultation directly to the Customer. A (medical treatment) agreement is thereby established between the Customer and the Healthcare Provider.
  3. During the Consultation, the Customer may express a Preferred Treatment. This Preferred Treatment is communicated by SMNP to the Healthcare Provider, but SMNP has no influence on the Consultation, the anamnesis, the issuance of a Prescription, and/or the prescribing of the Preferred Treatment or another Product by the Healthcare Provider. The Healthcare Provider is entirely independent and is in no way influenced by SMNP to prescribe specific Products. A Consultation primarily focuses on the consultation with a Healthcare Provider and not on obtaining a Prescription or Medication.
  4. If a Healthcare Provider determines that the Customer qualifies for the Preferred Treatment or requested Product, they may issue a Prescription for it. The Healthcare Provider is under no obligation to prescribe the requested Preferred Treatment – or any Product in general. Furthermore, the Healthcare Provider may prescribe a different quantity, dosage, or type of Product than the Preferred Treatment. The Customer will always be informed of this and will also have the right to cancel the Order free of charge.
  5. The requested Preferred Treatment or prescribed Product may be subject to restrictions regarding frequency and/or quantity. It is solely up to the Healthcare Provider or the dispensing Pharmacy to decide on this.
  6. A Healthcare Provider determines whether a Product can be prescribed to the Customer without risk. Therefore, it is essential that the Customer completes the Medical Questionnaire truthfully, accurately, and fully and provides the Healthcare Provider with all relevant information. Failure to disclose relevant information may result in Products being prescribed that could be harmful to the Customer's health.
  7. If the Customer does not wish to or cannot complete the Medical Questionnaire, no Consultation can take place.
  8. If a Healthcare Provider prepares a Personal Advice, this advice may consist of a treatment proposal with one or more Medications and/or other Products. The decision to accept the proposed treatment proposal in whole or in part lies with the Customer. The Healthcare Provider is entirely independently responsible for the content and medical assessment of the Personal Advice.
  9. A Personal Advice does not guarantee a specific medical outcome. The effectiveness of a treatment may vary from person to person.
  10. The Customer is responsible for informing their own general practitioner or medical specialist about a Consultation and/or prescribed Products.
  11. The Medical Questionnaire may only be completed on a personal basis and for personal use. Furthermore, the Services can only be used by individuals who have reached the minimum age of 18 years.
  12. SMNP does not offer Products itself but connects Customers, upon their request, safely, quickly, and discreetly with a Pharmacy. The sale and delivery of Products, if applicable, are agreed upon between the Customer and the Pharmacy.

Article 8 - Duration, termination, and renewal

  1. An Agreement entered into for a fixed term and aimed at the regular purchase of Products or Consultations will not be tacitly renewed or extended for a fixed period. The Customer may terminate it at the end of the Agreement's term with a one-month notice period.
  2. An Agreement entered into for an indefinite period and aimed at the regular purchase of Products or Consultations may be terminated by the Customer at any time with a one-month notice period.

Article 9 - Liability

  1. SMNP is only liable in cases determined by applicable laws and regulations.
  2. SMNP's liability is limited to the Services it provides. SMNP is in no way liable for any actions or omissions by external parties, such as Healthcare Providers, Pharmacies, carriers, or payment institutions. SMNP is never liable for the adverse effects of a Consultation or the use of Products.
  3. SMNP's liability is – to the extent legally permissible – limited to ten times the value of the Agreement. Liability for indirect damage (consequential damage) is always excluded.

Article 10 – Right of withdrawal and returns

For the delivery of Products: 

  1. When purchasing Products, the Customer has the option to dissolve the Agreement without giving reasons within 14 days. This cooling-off period starts the day after the Customer receives the Product.
  2. During the cooling-off period mentioned in paragraph 1, the Customer will handle the Product and its packaging with care. They will only unpack or use the Product to the extent necessary to determine whether they wish to keep it. If the Customer exercises their Right of Withdrawal, they will return the Product with all delivered accessories and – if reasonably possible – in its original condition and packaging to SMNP, following the instructions provided by SMNP.
  3. If the Customer wishes to exercise their Right of Withdrawal, they must notify SMNP within 14 days of receiving the Product. Notification must be made using the model form included in these Terms and Conditions. After notifying SMNP of their intention to exercise the Right of Withdrawal, the Customer must return the Product within 14 days. The Customer must prove that the items were returned on time, for example, by providing proof of shipment.
  4. If the Customer does not notify SMNP of their intention to exercise the Right of Withdrawal or does not return the Product within the periods mentioned in paragraphs 2 and 3, the purchase is final, and the Right of Withdrawal can no longer be exercised.

For the delivery of Consultations: 

  1. For the delivery of Consultations, the Customer has the option to dissolve the Agreement without giving reasons within 14 days, starting from the day the Agreement is entered into.
  2. To exercise their Right of Withdrawal, the Customer must follow the instructions provided by SMNP at the time of the offer and/or no later than at the time of delivery.
  3. If the Customer purchases a Personal Advice, this constitutes an individual and customised medical treatment proposal based on the medical information provided by the Customer.
  4. By placing and paying for an Order, the Customer explicitly consents to the immediate execution of the Personal Advice and acknowledges that the Right of Withdrawal expires as soon as the Healthcare Provider begins its execution.
  5. The Right of Withdrawal is excluded for Personal Advice that consists of or leads to a treatment proposal tailored to the individual medical situation and/or prescription-only Medications.

Returns 

  1. Except as provided under the Right of Withdrawal, it is not possible to exchange, return, or cancel Products or Consultations.


Article 11 - Costs in case of withdrawal

  1. If the Customer exercises their Right of Withdrawal, they are responsible for the return shipping costs.
  2. If the Customer has made a payment, SMNP will refund this amount as soon as possible, but no later than 14 days after withdrawal. This is subject to the condition that the Product has already been received by SMNP or that conclusive proof of complete return has been provided. Refunds will be made using the same payment method used by the Customer unless the Customer explicitly agrees to a different payment method.
  3. If the Product is damaged due to careless handling by the Customer, the Customer is liable for any depreciation in value.
  4. The risk and burden of proof for the correct and timely exercise of the Right of Withdrawal lie with the Customer.

Article 12 - Exclusion of the Right of Withdrawal

  1. The Right of Withdrawal is excluded for Products whose seal has been broken by the Customer. The Right of Withdrawal is always excluded for prescription-only products for reasons of health protection.
  2. By placing and paying for an Order, the Customer explicitly consents to the immediate execution of the Services and the Consultation. The Customer thereby waives the statutory cooling-off period and the Right of Withdrawal as soon as SMNP and/or the Healthcare Provider has fully performed the service. Any Prescription issued by the Healthcare Provider is tailored to the Customer's personal (medical) situation and needs. The Right of Withdrawal is also excluded for this Prescription. The Right of Withdrawal is excluded for Consultations and Services whose execution/delivery has begun before the cooling-off period referred to in Article 10 has expired.
  3. The Right of Withdrawal is also excluded for Personal Advice and related customised treatments, insofar as these consist of prescription-only Medications or treatment proposals specifically tailored to the individual medical situation.

Article 13 – Collection and use of personal data

  1. SMNP collects and uses the Customer's data to execute the Agreement. Medical data is collected and stored solely for and on behalf of the Healthcare Provider and/or the Pharmacy.
  2. In the context of Identity Verification, personal data may also be processed, including – if applicable – biometric data. This processing is carried out solely for identification and verification purposes, fraud prevention, and compliance with laws and regulations, in accordance with the Privacy Policy and applicable privacy legislation.
  3. The Privacy Policy always applies to the Services.

Article 14 - Complaints procedure

  1. Complaints about the execution of the Agreement must be submitted to SMNP fully and clearly described within a reasonable time after the Customer has identified the defects.
  2. Complaints submitted to SMNP will be answered within 14 days from the date of receipt. If a complaint requires a foreseeable longer processing time, SMNP will respond within 14 days with an acknowledgment of receipt and an indication of when the Customer can expect a more detailed response.
  3. If the complaint cannot be resolved by mutual agreement, a dispute arises that is subject to the dispute resolution procedure. At that point, the Customer may file a complaint via the European Commission's ODR platform. This ODR platform can be found at http://ec.europa.eu/odr.

Article 15 - Disputes

  1. Unless otherwise mandatorily provided by law, the Agreement is exclusively governed by Dutch law. The applicability of the Vienna Sales Convention is excluded.
  2. Disputes arising from the Agreement will, unless otherwise mandatorily provided by law, be submitted to the competent court in Breda (the Netherlands).

Article 16 - Amendments

  1. SMNP reserves the right to amend the Terms and Conditions at any time without prior notice. Amendments to these terms and conditions will only take effect after they have been published in an appropriate manner, provided that, in the event of applicable changes during the term of an offer, the most favourable provision for the Customer will prevail.
